    Position Overview

    The Corporate Counsel will report to the Managing Counsel and will interact daily with senior management and other company personnel on a broad spectrum of internal functions, including contract and regulatory compliance, finance, sales, product management, engineering, human resources, and professional/consulting services. 


    What you will work on

    Responsibilities Include:

    • Drafting and negotiating Software as a Service (SaaS) Agreements, terms    of use, consulting agreements, third party developer agreements, vendor contracts, business associate agreements, and other contractual instruments, as needed
    • Interpreting and explaining contract terms
    • Working with sales, product, and more senior attorneys to develop and maintain contract forms, policies, and procedures.
    • Identifying, researching, and appropriately escalating regulatory issues for resolution
    • Drafting letters and other legal correspondence
    • Providing legal support to contracts management process
    • Other legal duties as assigned



    • Current Good Standing with a State Bar
    • Minimum of 2 years of Legal Experience, preferably advising healthcare or life science clients
    • Excellent written and verbal communication skills
    • Experience drafting contract terms
    • Working knowledge of healthcare regulations, particularly HIPAA
    • Solution-oriented problem solver
    • Dynamic, flexible team member with business focus acumen
    • Managed and set multiple competing priorities across divisions or clients
    • Team player with ability to respond to rapidly changing situations and business needs
    • Comfortable discussing and resolving legal matters with internal and external audiences

    The position also requires an understanding of financial principles applicable to a large and growing corporation; excellent legal and business writing skills; the ability to communicate confidently and effectively with colleagues, clients and senior management; a high customer service ethic; and the ability to collaborate and build productive relationships with colleagues and clients both internally and externally. Role is located in Rockville, MD at corporate headquarters.
